Terms of Service

The agreement between you and DaKine Directory.

These Terms of Service describe the rules for using DaKine Directory and the listing plans we offer to local businesses in Hawai‘i.

Please read these Terms of Service (“Terms”) carefully before using DaKine Directory (the “Service”), operated by Dakine Directory (“Company”, “We”, “Us”, or “Our”). By accessing or using the Service, or by purchasing a listing, You agree to be bound by these Terms. If You do not agree, You may not use the Service.

Definitions

  • Service means the DaKine Directory website, application, and listing services.
  • Listing means a business profile published on the Service, including business name, description, contact links, photos, and any other content associated with that profile.
  • Plan means a paid subscription tier (Basic, Pro, or Featured) that determines which Listing features are available to You.
  • You means the individual or business that uses the Service or purchases a Plan.

Eligibility

You must be at least 18 years old and able to enter into a binding contract to purchase a Plan or submit a Listing. If You are using the Service on behalf of a business, You represent that You are authorized to bind that business to these Terms.

The Service

DaKine Directory is a local business directory for Hawai‘i. We help customers discover local food spots, service providers, makers, and neighborhood small businesses. We may add, change, or remove features of the Service at any time.

We do not guarantee that a Listing will result in any specific number of views, leads, customers, or revenue. The Service is a discovery tool, not an advertising guarantee.

Listings and Your Content

Accuracy

You are responsible for the accuracy of the information You provide for Your Listing, including business name, hours, contact details, photos, descriptions, services, and pricing. You agree to keep this information up to date.

Ownership and License

You retain ownership of the content You submit for Your Listing (“Your Content”). By submitting Your Content, You grant Us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt for formatting, and promote Your Content on the Service and in social media posts about the Service. This license ends when Your Listing is removed, except for content already included in previously published social media posts.

What You May Not List

You agree not to use the Service to list or promote:

  • Illegal goods or services, or activities that violate Hawai‘i or U.S. law;
  • Content that infringes another party’s intellectual property, trademark, or publicity rights;
  • Adult content, weapons, regulated drugs, or gambling;
  • Misleading, deceptive, or fraudulent business claims;
  • Hate speech, harassment, or content that targets a person or group;
  • Businesses You do not own or are not authorized to represent.

Our Right to Edit or Remove

We may edit Your Listing for formatting, clarity, or consistency. We may also remove or refuse to publish any Listing or content that, in Our reasonable judgment, violates these Terms or harms the reputation of the Service. Where reasonable, We will contact You before removing a Listing.

Plans, Billing, and Payments

Plans and Pricing

Current Plans and pricing are listed on Our Pricing page. We may change pricing for future billing cycles with at least 30 days’ notice by email or by a prominent notice on the Service. Price changes will not apply to a billing period You have already paid for.

Billing Cycle and Auto-Renewal

Plans are billed monthly in advance. Your Plan will automatically renew each month at the then-current price until You cancel. By providing a payment method, You authorize Us, through Our payment processor, to charge that payment method on each renewal date.

Payment Processing

Payments are processed by Stripe. We do not store full payment card details on Our servers. Your use of Stripe is governed by Stripe’s terms and privacy policy, available at https://stripe.com/legal.

Failed Payments

If a payment fails, We may suspend or remove Your Listing until the payment is resolved. We may retry the payment or contact You by email. If a payment remains unresolved for 14 days, We may terminate Your Listing without further notice.

Cancellation and Refunds

You may cancel Your Plan at any time by contacting Us at laura@dakinedirectoryapp.com. Cancellation takes effect at the end of the current billing period. Your Listing will remain visible until that period ends.

Plan fees are non-refundable except where required by law, or where We have failed to publish a Listing You paid for. If You believe You are entitled to a refund, please contact Us within 14 days of the charge.

Suggested Listings

Customers may suggest businesses to add to the Service. We may contact those businesses to confirm details and to invite them to claim or upgrade their Listing. We are not obligated to publish any suggested Listing.

Acceptable Use

You agree not to:

  • Use the Service to harass, threaten, or impersonate any person or business;
  • Scrape, copy, or republish substantial portions of the Service without Our written permission;
  • Interfere with the operation of the Service, including by sending automated traffic, spam, or malware;
  • Attempt to gain unauthorized access to any account, server, or system associated with the Service;
  • Use the Service in any way that violates applicable law.

Third-Party Links and Services

Listings may include links to third-party websites, social media pages, maps, and payment processors. We do not control and are not responsible for the content or practices of third-party services. Your use of any third-party service is at Your own risk and is governed by that service’s terms.

Intellectual Property

The Service — including the DaKine Directory name, logo, design, and software — is owned by the Company and is protected by copyright, trademark, and other laws. You may not use Our name or logo without Our written permission, except to refer to Your own Listing on the Service.

Termination

We may suspend or terminate Your Listing, account, or access to the Service at any time if You materially breach these Terms, if We are required to do so by law, or if continuing to provide the Service to You would expose Us to legal or reputational risk. Where reasonable, We will give You notice and an opportunity to fix the issue.

On termination, the license You granted Us for content already published in social media posts about Your business may continue, as described above. All other rights granted to You under these Terms will end.

Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any specific business outcome will result from a Listing.

Limitation of Liability

To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, customers, data, or goodwill, arising out of or related to Your use of the Service, even if We have been advised of the possibility of such damages.

Our total liability to You for any claim related to the Service or these Terms will not exceed the greater of (a) the amount You paid Us in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify and hold harmless the Company and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of (a) Your Listing or Your Content, (b) Your breach of these Terms, or (c) Your violation of any law or the rights of a third party.

Governing Law and Disputes

These Terms are governed by the laws of the State of Hawai‘i, without regard to its conflict-of-laws rules. You and the Company agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Hawai‘i County, Hawai‘i, and You consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. If We make material changes, We will notify You by email or by a prominent notice on the Service before the changes take effect, and update the “Last updated” date above. Your continued use of the Service after the changes take effect means You accept the updated Terms.
